AIM-listed Pri0r1ty Intelligence Group has acquired the operating assets and technology of employee benefits platform Pirkx for £50,000 in cash plus a 4% revenue royalty capped at £350,000. Pirkx had raised £5.4m from venture backers since 2018.
Pirkx was founded in 2018 by Stella Smith to sell a self-serve benefits platform to SMEs and contingent workers — 24/7 virtual GP access, telephone counselling, gym discounts and more than 2,500 retail cashback offers. It reached 10,800 active paying members by June 2026.
It did not reach profitability. Accounts for the year to 30 April 2025 show turnover of £554,584 against a pre-tax loss of £965,000. The company went into administration, with BTG Begbies Traynor London LLP handling the process.
Pri0r1ty announced the deal by RNS on 4 September. The initial cash consideration is £50,000. On top of that sits a royalty of 4% of revenues, payable quarterly over five years and capped at £350,000.
The buyer negotiated a six-month royalty holiday from completion, with the first payment falling due nine months afterwards. Maximum consideration is therefore £400,000, spread across half a decade and contingent on revenue the asset has yet to generate.
Pri0r1ty is funding the purchase from existing cash and is taking the business on a debt-free basis. It assumes Pirkx's payroll liability of roughly £38,000 a month — an ongoing cost that dwarfs the headline price within two months.
The cap-table arithmetic is stark. Pirkx raised £5.4m in total, including £4m by 2022, from NoBa Capital, Joyance Partners, Love Ventures, 1818 Venture Capital, Vala Capital and the Capital Pilot Boost Fund. An assets-and-IP sale out of administration leaves that equity behind: the shareholders do not follow the technology across, and the buyer takes the platform without the balance sheet that funded it.
Pri0r1ty, founded in 2024 and listed on AIM under PR1 with an OTC line under PRIAF, describes itself as a data, AI and marketing services group. It plans to run three in-house tools across the acquired base: Vox, an AI voice agent for onboarding and sales; Advisor, an AI support tool for member enquiries; and Compass ID, a data enrichment product for targeted marketing and cross-selling.
"Pirkx built an incredible product proposition with thousands of active SME users, but like many growing platforms, it faced administrative and operational scale friction," chief executive Rory Maxwell said. He described the model as "acquiring user bases at attractive valuations, plugging in our AI growth engine, and expanding our overall SaaS distribution network".
The group also owns Halfspace, a sports-sector marketing business, and Metr1c, which works in entertainment brand partnerships. It has said it is examining further revenue-generating transactions — a signal that distressed software assets with paying users, priced in the tens of thousands, are the intended pipeline.
